Welcome to ecocys ("we," "our," "us"). These Terms and Conditions ("Terms") govern your access to and use of our website, mobile application, and B2B2C platform, including all services, tools, commerce, POS, billing, ledger, wallet, payouts, and inventory management features provided through ecocys (collectively, the "Platform").
By accessing, registering, or using the Platform as a manufacturer, retailer, merchant, agent, or end-customer ("User" or "you"), you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Platform.
1. Eligibility and Account Registration
Account Creation: To use features such as managing a store, placing bulk orders, running POS, or managing staff, you must register with accurate business and personal information, including a valid email and Indian mobile number.
User Roles: The Platform supports Sellers (manufacturers and retailers) and Agents. You are responsible for selecting the correct role during login and onboarding.
Account Security: You are responsible for keeping your credentials, passwords, and OTPs confidential. Activity on your account is deemed your responsibility.
2. Platform Services and Role of ecocys
B2B2C Marketplace Engine: ecocys connects manufacturers, partner retailers, and commercial agents to streamline commerce, billing, inventory, and settlements.
Third-Party Transactions: Sale contracts are generally between sellers and buyers. ecocys is a technology facilitator and is not a party to those transactions unless explicitly stated.
Retailer-first Fulfilment: The Platform is designed for fulfilment from partner retailers and curated hubs, not dark-store-only models.
3. User Obligations and Conduct
You agree to use the Platform only for lawful commercial and retail purposes and to comply with applicable Indian laws, including GST and consumer protection rules where relevant.
You agree not to:
- Provide false, misleading, or fraudulent business or contact details.
- Upload unauthorized, counterfeit, or prohibited items into catalogs or inventory.
- Interfere with, hack, scrape abusively, or compromise Platform security or data integrity.
- Misuse ledger, wallet, credit, payout, or POS features for fraudulent settlements.
4. Pricing, Payments, and Ledger (Clear Books)
Pricing and Taxes: Sellers are responsible for accurate pricing and statutory taxes, including GST.
Credits and Payouts: Ledger, credit, and payout tools ("Clear Books") are subject to verification, gateway partner rules, and processing timelines. ecocys may reverse or hold payouts where fraud, chargebacks, or compliance issues are detected.
5. Catalog, POS, and Inventory
You are responsible for the accuracy of product titles, images, HSN, stock counts, and store policies. Inventory discrepancies arising from your data entry remain your responsibility.
6. Intellectual Property Rights
Platform content—including text, graphics, logos, software, and designs—belongs to ecocys or its licensors and is protected by applicable IP laws. You receive a limited, non-exclusive, non-transferable license to use the Platform for your internal business operations.
7. Privacy and Data Protection
Your use of the Platform is also governed by our Privacy Policy. We use secure and encrypted protocols to protect business data, transaction history, and personal information. You agree not to misuse personal data of customers, staff, or partners obtained through the Platform.
8. Limitation of Liability
The Platform is provided on an "as-is" and "as-available" basis without warranties of any kind, express or implied. To the maximum extent permitted by law, ecocys is not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits arising from Platform use, inventory issues, delivery delays, or third-party payment failures.
9. Termination
We may suspend or terminate your account without prior notice if you breach these Terms, engage in fraud, or pose a security risk to the network.
10. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts in the operational jurisdiction of ecocys.
11. Changes to Terms
We may update these Terms from time to time. Continued use after changes constitutes acceptance of the revised Terms. Material changes may be highlighted in-product where practical.
